We may investigate suspected violations and suspend or terminate access.
4. Your Content and License
You retain ownership of content you submit to the Service (“Customer Content”), including prompts, files, agent configurations, and data from connected services that you authorize.
You grant WellSkate a limited license to host, process, transmit, display, and otherwise use Customer Content solely as needed to provide, secure, and improve the Service according to your settings and instructions, and as described in our Privacy Policy.
You are responsible for Customer Content, including ensuring you have the rights and consents required to submit it and to use meeting recording, embeds, and integrations.
5. AI Outputs
AI-generated outputs may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing outputs before relying on them for legal, medical, financial, employment, safety, or other important decisions.
Outputs are provided “as is.” Subject to applicable law, WellSkate does not warrant that outputs will be free of errors or third-party claims.
6. Organization Accounts
If your account is managed by an organization, that organization’s administrators may manage members, models, agents, tools, retention, usage policies, billing, and access to organization-owned content. Your use may also be subject to the organization’s internal policies.
Organization administrators are responsible for configuring the Service appropriately for their users and for complying with applicable employment and privacy laws.
7. Meeting Notetakers and Recordings

You are solely responsible for:
- Obtaining any required notices and consents from meeting participants before recording;
- Complying with applicable recording, wiretap, and privacy laws; and
- Configuring organization meeting-bot policies appropriately.
Do not invite a notetaker to a meeting unless you are authorized to record it.
8. Website Embeds and Public Surfaces
If you publish website embeds, playgrounds, or other public surfaces, you are responsible for the content shown to visitors, the data you collect from them through the Service, and any notices or consents required for those visitors.
9. Third-Party Services
The Service may integrate with third-party providers, including AI model providers, cloud infrastructure, connected applications, messaging platforms, meeting-bot providers, email delivery, and analytics.
Your use of a third-party service is also governed by that third party’s terms. WellSkate is not responsible for third-party services outside our reasonable control.
10. Desktop Application and Browser Extension
The desktop application may run tools on your device. The browser extension may access pages and content you choose to make available. You are responsible for the devices, sites, and local data you allow the Service to access.
11. Fees, Credits, and Invoices
Paid plans, organization credits, and invoices are billed according to the pricing and billing terms presented at purchase or in your organization billing settings. Fees may be denominated in currencies such as USD or JPY.
Unless otherwise stated in writing, fees are non-refundable except where required by law. Unused credits may expire according to the applicable plan terms. We may suspend Service for unpaid amounts.
12. Intellectual Property
WellSkate and its licensors own the Service, including software, branding, and documentation. These Terms do not transfer ownership of the Service to you.
Feedback you provide may be used by WellSkate without obligation to you.
13. Confidentiality and Security
We implement reasonable technical and organizational measures to protect the Service. You must protect your accounts, API keys, and connected credentials, and promptly notify us of suspected incidents involving your account.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

16. Indemnity
You will defend and indemnify WellSkate against claims, damages, and expenses arising from your Customer Content, your use of meeting recording or public embeds, your violation of these Terms, or your violation of applicable law or third-party rights, except to the extent caused by WellSkate’s willful misconduct.
17. Suspension and Termination
You may stop using the Service at any time. To close your account, contact contact@wellskate.ai.
We may suspend or terminate access if you breach these Terms, create risk for the Service or others, fail to pay fees, or if we are required to do so by law. Sections that by their nature should survive termination will survive.

- Our legitimate interests in operating, securing, and improving the Service;
- Your consent;
- Compliance with legal obligations; or
- Protection of the rights and safety of WellSkate, our users, or others.
3. AI Processing
To generate responses and perform requested tasks, WellSkate AI may transmit relevant portions of your prompts, files, instructions, tool results, and other content to AI model providers and infrastructure providers.
The provider used may depend on:
- The model selected by you or your organization;
- The feature being used;
- Service availability;
- Your organization’s configuration; or
- Whether you have configured your own provider credentials.
Depending on the feature, providers may include companies that supply large language models, speech and transcription, OCR, embeddings and vector search, sandboxes, scraping tools, hosting, and related infrastructure.
Third-party providers process information according to their contracts with WellSkate, the applicable service configuration, and their own privacy and security terms.
WellSkate does not use your private content to train its own general-purpose AI models unless we clearly inform you and obtain any consent required by applicable law.
When available, we seek to use API or enterprise configurations that restrict providers from using submitted content to train their general-purpose models. However, provider processing and retention practices may differ, particularly when you connect your own account or API key.
AI-generated output may be inaccurate and should be independently reviewed before being used for important legal, medical, financial, employment, safety, or business decisions.
4. Chat, File, and Content Retention
4.1 Chat History
By default, WellSkate stores chat messages and related conversation data so that you can reopen chats, use chat history, and operate features that depend on prior context. Chat content may be stored in encrypted application databases and, for larger payloads, in object storage.
Where you or your organization enable retrieval features, WellSkate may also create private search indexes of chat text to help find relevant past context.
4.2 Content You Choose to Save or Persist
Some features are specifically designed to retain information. These may include:
- Agent memory;
- Agent files;
- Saved sources;
- Workspace and space content;
- Databases associated with spaces or apps;
- Agent instructions and configurations;
- Connected-service data;
- Chat history;
- Meeting recordings, transcripts, and notes;
- Website-embed conversations; and
- Other persistent features selected by you or your organization.
Information stored through these features may remain available until:
- You delete it;
- Your organization deletes it;
- Your account or workspace is deleted;
- The relevant retention period expires; or
- We are legally required to retain it.
4.3 Attachments and External Content
Files, webpage content, and other external sources are retained according to the feature you use. Content attached to a chat or saved to an agent, workspace, memory, file system, or other persistent feature remains available according to that feature’s settings.
4.4 Service Providers
AI model providers and other service providers may independently retain submitted information for limited periods for security, abuse prevention, legal compliance, or service operation. Their retention practices may vary depending on the provider, product configuration, and whether you use your own credentials.
4.5 Technical Records
We may retain limited security, transaction, diagnostic, and usage records. These records may include timestamps, model or tool usage, token or usage quantities, error information, and security events.
We seek to avoid including private chat content in operational analytics logs unless necessary to investigate an error, security incident, abuse report, or support request.
5. How We Disclose Information
We do not sell your personal information.
We do not share personal information for third-party targeted advertising or cross-context behavioral advertising.

- Authentication;
- AI models and related AI infrastructure;
- Vector search and embeddings;
- Meeting bots and recording;
- Messaging and team channels;

- Email delivery;
- Product analytics;
- Security and abuse prevention;
- Monitoring and error diagnosis; and
- Customer support.
These providers are permitted to process information only as necessary to provide their services to us, subject to applicable contractual and legal requirements.
5.2 Integrations You Enable
When you instruct WellSkate to interact with an external service, information necessary to perform the request may be sent to that service.
Your use of a third-party integration is also governed by the third party’s terms and privacy policy.
5.3 Organization Accounts
If your account is provided or managed by an employer, customer, school, or other organization, authorized administrators may be able to:

- Establish, exercise, or defend legal claims.
5.5 Corporate Transactions
Information may be disclosed as part of a merger, financing, acquisition, reorganization, sale of assets, or similar corporate transaction. Where required, we will provide notice before personal information becomes subject to a materially different privacy policy.
6. International Data Transfers
WellSkate is based in Japan, but we and our service providers may process information in Japan and other countries.
These countries may have privacy and data-protection laws different from those in your country. Where required, we use appropriate safeguards for international transfers, such as contractual protections, adequacy mechanisms, or other legally recognized transfer methods.
7. Data Retention
We retain personal information only for as long as reasonably necessary for the purposes described in this Privacy Policy, including to:
- Provide the Service;
- Maintain your account;
- Fulfil contractual obligations;
- Comply with tax, accounting, and legal requirements;
- Resolve disputes;
- Prevent fraud and abuse; and
- Protect the security of the Service.
Retention periods vary according to the type of information, how the information is used, the user’s settings, contractual requirements, and applicable law.
When information is no longer required, we take reasonable steps to delete or anonymize it.
8. Your Rights and Choices
Depending on your location and applicable law, you may have the right to:
- Request access to your personal information;
- Request correction of inaccurate or incomplete information;
- Request deletion of your personal information;
- Request restriction of certain processing;
- Object to certain processing;
- Withdraw consent where processing is based on consent;
- Request a portable copy of certain information;
- Close your account;
- Opt out of certain communications; and
- Submit a complaint to an applicable data-protection authority.
These rights may be subject to legal exceptions. We may need to verify your identity before completing a request.
To submit a privacy request or close your account, contact contact@wellskate.ai. Account closure is currently handled through support.
We will not unlawfully discriminate against you for exercising an applicable privacy right.
You may delete individual chats and disconnect integrations through the Service where those controls are available. You may unsubscribe from notification digests and product update emails using the unsubscribe links in those messages.
9. Cookies and Similar Technologies
We may use cookies, local storage, and similar technologies that are necessary to:
- Keep you signed in;
- Maintain your preferences;
- Protect accounts and prevent abuse;
- Understand whether the Service is operating correctly; and
- Measure and improve product performance.
We use product analytics (including Vercel Analytics) to understand how the Service is used. These technologies are used for product measurement, not for third-party targeted advertising.
Where required by law, we will request consent before using non-essential cookies or similar technologies.
You may be able to control cookies through your browser settings. Disabling necessary cookies may prevent parts of the Service from functioning correctly.

The desktop application may process prompts in the cloud while running tools locally on your device according to your configuration.
The browser extension may access tab content and browsing context that you choose to make available to the Service.
Browser automation sandboxes may retain session state, including cookies, across related runs so that authenticated browsing can continue when you request it.
11. Data Security
We use reasonable technical and organizational measures designed to protect information from unauthorized access, disclosure, alteration, loss, and misuse.
These measures may include encryption, access controls, authentication protections, monitoring, and data-minimization practices.
However, no internet transmission, storage system, or security measure can guarantee absolute security. You are responsible for protecting your account credentials and promptly notifying us if you suspect unauthorized access.
12. Children’s Privacy
The Service is not directed to children under the age of 16, and we do not knowingly collect personal information from children under 16 without appropriate authorization.
If you believe that a child has provided personal information to us in violation of this section, please contact us so that we can investigate and take appropriate action.
13. Third-Party Services and Links
The Service may contain links to, display information from, or interact with third-party websites and services.
WellSkate is not responsible for the privacy, security, or content practices of third parties. We encourage you to review their terms and privacy policies before providing information or enabling an integration.
14. Changes to This Privacy Policy
We may update this Privacy Policy when our Service, technology, business practices, or legal obligations change.
The “Last Updated” date at the top of this policy indicates when it was most recently revised.
